Terms and Conditions

Article 1 – Definitions

In these terms and conditions, the following definitions apply:

Shockwave Installatie & Renovatie: the sole proprietorship established in Almelo, registered with the Dutch Chamber of Commerce under number 85436054, hereinafter referred to as “we” or “us.”

Client: the natural or legal person entering into an agreement with us.

Work: all services provided and/or goods and materials delivered or to be delivered by us.

Article 2 – Applicability

These terms and conditions apply to all quotations, assignments, agreements, and deliveries between us and the client, unless explicitly agreed otherwise in writing.

Article 3 – Quotations

Our quotations are non-binding, valid for 30 days, and exclusive of VAT, unless stated otherwise.

We reserve the right to adjust prices due to unforeseen circumstances or additional work outside the original agreement.

Article 4 – Formation of Agreement

An agreement is established once the client verbally or in writing agrees to the quotation or order confirmation.

Article 5 – Execution of Work

We perform our work according to applicable standards, with care, craftsmanship, and in consultation with the client.

The planning is indicative. Delays caused by external factors do not entitle the client to compensation.

Article 6 – Use of Third Parties / Staff / Subcontractors

If necessary, we may engage third parties, subcontractors, or hired personnel for the execution of work. We remain responsible for coordination and quality unless agreed otherwise.

Article 7 – Client Obligations

The client must ensure timely and complete access to the work location.

The site must be free of obstacles and safe to perform work.

If necessary, utilities such as electricity and water must be made available.

Article 8 – Changes and Additions

Changes or additions to the work are only valid after written confirmation by both parties.

Additional work will be quoted and invoiced separately.

Article 9 – Completion and Complaints

Completion occurs once all work is finished and the client has been informed.

Visible defects must be reported to us in writing within 7 days of completion.

Later complaints are only considered in case of hidden defects, and must be reported within a reasonable time after discovery.

Article 10 – Payment

Payment must be made within 14 days of the invoice date, unless otherwise agreed in writing.

In case of late payment, we are entitled to charge statutory interest and recover any extrajudicial collection costs.

Article 11 – Retention of Title

All goods and materials delivered remain our property until full payment has been made. In case of non-payment, we reserve the right to reclaim these goods.

Article 12 – Liability

We are only liable for damages resulting from intent or gross negligence.

Our liability is limited to the amount paid out in the relevant case by our liability insurance.

We are not liable for consequential damages such as loss of profit, delays, or intangible damages.

Article 13 – Warranty

We provide a 6-month warranty on our work, unless stated otherwise. The warranty becomes void if:

there is improper use or poor maintenance,

third parties make changes or repairs without our consent.

Article 14 – Force Majeure

In the event of force majeure, we are not obliged to fulfill our obligations.

Force majeure includes, but is not limited to: natural disasters, pandemics, war, fire, government measures, extreme weather, and labor disputes.

Article 15 – Workplace Safety

We reserve the right to temporarily suspend work if the safety of the site is at risk, without liability for delay.

Article 16 – Applicable Law and Disputes

All agreements, offers, and these terms and conditions are governed exclusively by Dutch law.

Disputes will preferably be resolved in mutual consultation. If necessary, the dispute will be submitted to the competent court in Almelo.

Article 17 – Changes to Terms and Conditions

We reserve the right to amend these terms and conditions. The most recent version applies and will be made available via our website or upon request.

By entering into an agreement with Shockwave Installatie & Renovatie, the client agrees to these terms and conditions.
